1. Agreement to Terms

By accessing or using Adorly.ai ("the Service," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use the Service.

2. Eligibility

You must be at least 18 years of age to access or use the Service. By creating an account, you represent and warrant that:

• You are at least 18 years old.
• You have completed our age verification process truthfully.
• You have the legal capacity to enter into a binding agreement.
• Your use of the Service complies with all applicable laws in your jurisdiction.
• Access to adult material is lawful in your jurisdiction of residence.

We reserve the right to request additional proof of age at any time and to suspend or terminate accounts where age requirements are not met.

3. Account Registration

• You must provide accurate, complete, and current information during registration.
• You are responsible for maintaining the confidentiality of your account credentials.
• You may not create more than one account per person.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these terms.

4. Description of the Service

Adorly.ai provides companion experiences through personalized conversations, creator-published posts and media, image and video requests, and related interactive features. Companions are fictional characters brought to life by creators and conversational technology. They are not real people.

5. Subscriptions and Payments

The Service offers several paid features:

• Service subscriptions: Monthly or annual plans that unlock premium features, including unlimited conversations and expanded access.
• Companion subscriptions: Per-companion monthly subscriptions set by creators that unlock subscriber-only posts and media.
• Token packs: Purchased tokens used for image requests, video requests, pay-per-view unlocks, and tips.

All subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel at any time through your account settings.

Payments are processed by third-party payment providers. By making a purchase, you agree to the applicable payment provider's terms. We do not store your full payment card details.

Refunds are handled on a case-by-case basis in accordance with applicable law and the terms of your payment provider. Subscription fees already charged for the current billing period are generally non-refundable.

6. Tokens

• Tokens are a virtual currency used within the Service. They hold no cash value and cannot be exchanged for real currency.
• Tokens are non-refundable once purchased, except where required by applicable law.
• Tokens may be used for image requests, video requests, pay-per-view unlocks, and tips to creators.
• Unused tokens expire upon account termination.
• We reserve the right to modify token pricing and the cost of token-based features at any time.

7. Creator Terms

If you participate in our Creator Program, the following additional terms apply:

• Revenue share: Creators receive 80% of net revenue from companion subscriptions, pay-per-view unlocks, and tips. Adorly retains 20%.
• Payouts: Earnings are calculated monthly and paid according to your selected payout method, subject to minimum thresholds.
• Tax responsibility: You are solely responsible for reporting and paying all applicable taxes on your earnings.
• Material standards: All creator-published material must comply with our Content Guidelines. We reserve the right to remove material that violates these guidelines.
• License grant: By publishing material on the Service, you grant Adorly a non-exclusive, worldwide, royalty-free license to host, display, distribute, and promote your material within the Service.
• Original work: You represent that you have all necessary rights to the material you publish and that it does not infringe on the rights of any third party.

8. Intellectual Property

• Adorly.ai owns all rights to the Service, including its design, code, branding, and proprietary technology.
• Creators retain ownership of their original material, subject to the license granted in Section 7.
• Images and videos produced through the Service are subject to the terms of the applicable generation providers. You receive a license to use such media for personal, non-commercial purposes unless otherwise specified.
• You retain ownership of your messages and inputs but grant Adorly a license to process them as necessary to deliver the Service.

9. Prohibited Conduct

You agree not to:

• Create, share, or request material depicting or resembling anyone under 18.
• Create companions based on real people (celebrities, public figures, or private individuals) without their verified consent.
• Use the Service for any illegal activity or to facilitate illegal activity.
• Harass, threaten, or abuse other people on the Service or its creators.
• Distribute spam, scams, or deceptive material.
• Attempt to reverse-engineer, decompile, or extract source code from the Service.
• Scrape, crawl, or use automated means to collect data from the Service.
• Circumvent security measures, access controls, or rate limits.
• Use the Service for commercial purposes without our written authorization.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

10. Copyright and Intellectual Property Claims

We respect intellectual property rights and respond to valid takedown requests in accordance with the Digital Millennium Copyright Act (DMCA). For full details on submitting a takedown notice or counter-notification, please visit our Content Removal page.

11. Disclaimers

• The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express or implied.
• We do not warrant that the Service will be uninterrupted, error-free, or secure.
• Companions are fictional characters. They are not real people, licensed professionals, or substitutes for professional advice (medical, legal, financial, psychological, or otherwise).
• You acknowledge that emotional connections formed with companions are with fictional characters and that the Service is intended for entertainment purposes.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Adorly.ai and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.

Our total liability for any claim arising from or related to the Service shall not exceed the total amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold harmless Adorly.ai, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) material you publish or submit; (c) your violation of these terms; or (d) your violation of any rights of a third party.

14. Governing Law and Dispute Resolution

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.

Any dispute arising from or relating to these terms or the Service shall be resolved through binding arbitration administered by a recognized arbitration body, rather than in court. You may opt out of arbitration by sending written notice to [email protected] within 30 days of creating your account.

You agree to resolve disputes on an individual basis. Class actions, class arbitrations, and representative actions are not permitted.

Notwithstanding the above, either party may bring individual claims in small claims court if the claims qualify.

15. Termination

You may terminate your account at any time through your account settings or by contacting [email protected].

We may suspend or terminate your account at any time for violations of these terms, with or without prior notice. In cases of severe violations, termination may be immediate and without refund.

Upon termination: (a) your license to use the Service is revoked; (b) unused tokens are forfeited; (c) active subscriptions are cancelled; (d) Sections 8, 11, 12, 13, 14, and 18 survive termination.

16. Modifications

We may update these terms from time to time. When we make material changes, we will notify you by email or through a prominent notice on the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised terms.

17. Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
